Authorized User Terms of Use

1. General.

(a) Your Lili Visa® Debit Card (“Lili Card’ or “Card”) is a business debit card issued through the Lili program by Sunrise Banks, N.A., Member FDIC (“Bank”). The Lili program is managed by Lili App Inc. (“Lili”). When you use your card, you must follow the requirements laid out in these Authorized User Terms of Use (“Terms”).

(b) As used in these Terms, “we,” “us” and “our” refer to the Bank. “You” and “your” refer to the person authorized by the Account Owner to receive and use a Lili Card. The Account Owner refers to the business entity or sole proprietor that participates in the Lili program and has a business deposit account with the Bank.

(c) When you use your Lili Card, you are using the card on behalf of the Account Owner. All expenses on your Lili Card are the responsibility of the Account Owner.

(d) These Terms do not establish a contract or other legal relationship between you and us. This document constitutes a binding agreement between you and the Account Owner and the Account Owner is responsible for your compliance with these Terms.

2. Using Your Lili Card.

(a) Your Lili Card must be activated prior to use. Based on your Account Owner’s request, Lili will provide activation instructions to you. We, or your Account Owner, may apply limits to your Lili Card, such as spend limits, country limits, or limits on merchant categories or specific merchants.

(b) You may only use your Lili Card for business purchases on behalf of your Account Owner. You may not use your Lili Card for personal, family or household purposes or to make purchases that are not on behalf of your Account Owner. Your Lili Card remains the property of the Bank and must be returned upon request. We may cancel, revoke, repossess or restrict the use of your Lili Card at any time. You may not use the card for any unlawful purpose.

(c) You are not directly liable to us for your charges or other activity on your Lili Card.

3. Card Security.

You are responsible for securing your Lili Card, account number and card security features (including the CVV and PIN).

4. Data Privacy.

The Lili Privacy Policy and the Bank Privacy Policy describe how and for what purposes we process data (including personally identifiable information) in connection with your use of your Lili Card. By using your Lili Card, you consent to these policies.

5. Prohibited Persons.

You represent and agree you are not currently and will not become subject to a U.S. Office of Foreign Asset Control list, or any law, regulation, or other list of any government authority that prohibits or limits us from providing debit cards to you or from otherwise conducting business with you.

6. Customer Service.

If you have questions about the valid use of your card, please contact your Account Owner. If your Lili Card is lost or stolen, please immediately notify your Account Owner and Lili Customer Support at [email protected].
